Terms of Service.
01Agreement to Terms
SoldLoop is operated by Creative Code, Inc., a Pennsylvania corporation ("Creative Code", "SoldLoop", "we", "our", or "us"). These Terms of Service govern your access to and use of SoldLoop. By creating an account, accessing the web app, publishing a selling website, installing the Chrome extension, or otherwise using any SoldLoop service, you agree to be bound by these terms. If you do not agree, do not use the service.
These terms apply to the SoldLoop web application, your hosted selling website, the SoldLoop Chrome extension, and all related tools and services we provide.
02Description of Service
SoldLoop is a platform for car salespeople, dealers, and agencies. The service provides:
- A personal selling website with your own branding and live inventory.
- Real-time inventory sync.
- Lead capture and a unified inbox for messages across your channels.
- A mini CRM and deal pipeline to track customers and follow-ups.
- Tools to post your inventory to Facebook Marketplace.
We may add, change, or remove features over time to improve the service.
03Accounts and Eligibility
You must be at least 18 years old to use SoldLoop. When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect any unauthorized use.
04Subscriptions and Billing
The Pro plan lists at $149 per month per seat. Subscribers who sign up during the early-signup period pay $99 per month per seat, and that price does not change for them while their subscription stays active. Each new Pro seat starts with a 14-day free trial; billing begins when the trial ends unless you cancel first. Dealer and agency plans are custom and priced separately. Fees are billed in advance and recur on each billing cycle until you cancel.
You can cancel at any time, and your access continues through the end of the current billing period. We do not provide refunds for partial billing periods unless required by law. Other plan prices may change with reasonable advance notice.
05Acceptable Use
You agree to use SoldLoop lawfully and responsibly. You may not:
- Use the service for any unlawful, fraudulent, or deceptive purpose.
- Send spam or unsolicited bulk messages of any kind.
- Post inventory you are not authorized to sell or represent.
- Ignore the posting rules, rate limits, or policies of any connected third-party platform.
You are responsible for complying with the terms of any third-party platform you connect through SoldLoop, including Facebook and Facebook Marketplace.
06Third-Party Platforms (Facebook Marketplace)
Posting to Facebook is always user-initiated and is subject to Facebook's own terms and policies. SoldLoop does not store your Facebook credentials. You are solely responsible for the standing of your Facebook account and for following Facebook's rules when you use the posting tools.
We do not control Facebook and cannot guarantee continued access to or performance of any third-party platform.
07Text Messaging (SMS) Program
Program. Salespeople who use SoldLoop can send text messages to customers who asked to hear from them, about vehicles the customer inquired about, test drives and appointments, quotes, vehicle availability and follow-ups on that inquiry. Messages are sent one-to-one by the salesperson, on behalf of their dealership, through SoldLoop, which Creative Code, Inc. operates.
How you opt in. You opt in by ticking the unchecked text-message consent box on a salesperson's SoldLoop website or vehicle inquiry form and sending the form. The box states that you agree to receive calls, emails and text messages from that salesperson and dealership about your inquiry, that message frequency varies, that message and data rates may apply, and that you can reply HELP for help or STOP to opt out, with links to these terms and our Privacy Policy. The steps are shown on our SMS opt-in page. Consent to receive texts is not a condition of any purchase.
Message frequency. Message frequency varies with your conversation with the salesperson.
Cost. Message and data rates may apply. Check your mobile plan with your carrier.
Opting out. Reply STOP to any message to stop receiving texts. CANCEL, END, QUIT, UNSUBSCRIBE, STOPALL, REVOKE and OPTOUT also work. You will receive one confirmation that you are unsubscribed and no further messages. Reply START to subscribe again.
Help. Reply HELP (or INFO) for help, or contact [email protected].
Carriers. Carriers are not liable for delayed or undelivered messages. Supported on major US carriers.
Privacy. Your mobile number and your consent to receive texts are never sold or shared with third parties or affiliates for their marketing. See the Text Messages section of our Privacy Policy.
Salespeople and dealers. If you send texts through SoldLoop, you agree to text only people who have given you consent as described above, to honor every opt-out, to identify yourself and your dealership, and to follow the CTIA Messaging Principles, the TCPA and carrier rules, including 10DLC registration requirements. You may not use SoldLoop texting for purchased or shared lists, or for content that is unlawful, misleading, or about prohibited topics.
08Inventory Data
Inventory shown in SoldLoop is sourced from your connected dealership systems through our inventory data provider. By using the service, you represent that you are authorized to use and list that inventory.
Data accuracy depends on the source feed. We work to keep inventory current, but we do not guarantee that every listing, price, or specification is free of errors from upstream systems.
09Intellectual Property
SoldLoop, including its software, design, and underlying technology, is owned by LotPro LLC and Carfluence. These terms do not grant you any ownership of the platform.
You retain rights to your own content and listings. You grant SoldLoop a non-exclusive license to host, store, and process your content as needed to provide the service to you.
10Your Selling Website
You are responsible for the content you publish on your selling website. The AI editor produces validated content blocks, but you remain responsible for the accuracy and legal compliance of your listings, claims, pricing, and disclosures.
Do not publish content that is misleading, infringing, or that violates any applicable law or dealer agreement.
11Disclaimers
The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not guarantee any specific sales results, lead volume, or Facebook Marketplace performance.
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12Limitation of Liability
To the maximum extent permitted by law, SoldLoop's total liability for any claim arising out of or relating to the service is limited to the fees you paid to SoldLoop in the twelve months before the event giving rise to the claim.
SoldLoop is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, or lost data.
13Indemnification
You agree to indemnify and hold harmless SoldLoop from any claims, damages, losses, and expenses arising out of your misuse of the service, your content, or your violation of these terms or of any third-party platform's terms, including those of Facebook and Facebook Marketplace.
14Termination
You may stop using SoldLoop and cancel your subscription at any time. Either party may terminate this agreement with reasonable notice.
We may suspend or terminate your access if you breach these terms or if you violate the rules of a connected third-party platform. On termination, your right to use the service ends.
15Changes to Terms
We may update these terms from time to time. When we do, we will revise the "Last Updated" date noted at the top of this page. Your continued use of the service after changes take effect means you accept the updated terms.
16Governing Law
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. SoldLoop is a Pennsylvania entity, and you agree that the courts located in Pennsylvania have jurisdiction over any dispute arising from these terms.
